Telenet acquires internet security specialist C-CURE

Mechelen -- June 1, 2010 -- Telenet announced today that it is taking over the Mechelen-based internet security specialist, C-CURE, and has acquired all shares from the existing shareholders. With this takeover, Telenet is seeking to integrate security solutions into its portfolio of corporate internet services while making managed security services a substantial part of its product offering.

C-CURE provides advice and integrates and develops advanced products related to internet and network security for corporate customers. C-CURE was founded in 1998 and generated a non-audited turnover of approximately €6.6 million in 2009. Major customer references include Press Agency Belga, Tele Atlas (TomTom), De Persgroep and Hansen Transmissions.

The purchase price paid by Telenet for C-CURE amounts to one third of its turnover. The transaction will have no impact on C-CURE’s personnel. The management team will remain intact and will continue to operate from the company’s current location in Mechelen-Noord.

C-CURE will be integrated within the activities of Telenet Solutions, Telenet’s business to business division.

“As a result of the increased accessibility of (network) bandwidth and better and cheaper data storage capacity, many companies these days are reorganising their IT and computer resources. One direct consequence of this reorientation is an increased demand for (managed) security solutions. Telenet’s acquisition of C-CURE is a logical step given this current climate,” explains Martine Tempels, Senior Vice President Telenet Solutions. “Thanks to C-CURE’s expertise and product portfolio, we will also be able to offer our customers a comprehensive range of integrated security services. There is a clear evolution to be seen where customers are not only purchasing connectivity products from us but also explicitly requesting that their service provider offer solutions for securing their networks and internet traffic. With C-CURE, we are even better placed to meet those expectations.”

De Persgroep chooses Radware’s Multi-Homing Solution

Solution

Successful C-CURE Becomes Public Limited Company

Mechelen -- October 5, 2005 -- C-CURE, the Belgian information security specialist, is changing its legal form from a CVBA (cooperative company) to an NV (public limited company), in response to the company's growing success. Four months after the start of the collaboration with ELMOS, a Belgian provider of IT services, self-employed security specialist George Ataya has been appointed to the Board of Directors.

C-CURE, founded in 1998, has experienced continuous growth in recent years. In May 2005, ELMOS took a 50% stake in C-CURE to further support and consolidate the company. Six months on, the cross-fertilization between the two IT specialists seems to have been very successful. The company has grown so strongly that it was essential to incorporate as an NV. Besides Luc Dooms, CEO of C-CURE, and Eddy Lambaerts, Managing Director of ELMOS, George Ataya, an authority in the world of information security, has been appointed as a third director.

Luc Dooms, co-founder and CEO of C-CURE, is extremely satisfied with the new development: “The formation of an NV is a great step forward for C-CURE and will certainly provide a new impetus to the company’s operations. I am also a firm believer in the fruitful collaboration with the other two directors.”

According to Eddy Lambaerts, Managing Director of ELMOS and the new company’s second director, the formation of an NV was a logical next step: “Since the start of our collaboration four months ago, C-CURE has become a symbol of the modern technology within the ELMOS group. The formation of the NV goes hand in hand with that, and consolidates the financial basis of C-CURE.”

George Ataya was approached to be the third director of the NV, as an impartial specialist who could bring in new ideas relating to vision and strategy. He is an expert in information and communication technology domains, specialising in the areas of audit, security, control and strategic management. Since 2004 he is the President of the Belux Chapter of the “Information Systems Audit & Control Association” (http://www.isaca.org). Ataya is also the co-founder of the Brussels European Chapter of the “Information Systems Security Association” (http://www.ISSA.org). George Ataya is the founder and Academic Coordinator of the ICT Audit & Security Postgraduate degree at Solvay Business School in Brussels.

ELMOS acquires half of C-CURE’s shares

Mechelen -- May 20, 2005 -- C-CURE, the Belgian specialist in information security, and ELMOS, Belgian supplier of ICT services, consultancy and ICT infrastructure management and support, announce today that ELMOS will acquire half of C-CURE's shares. Co-founder and CEO of C-CURE, Luc Dooms, retains the other half.

ELMOS was founded in 1997 by Eddy Lambaerts and has become an important supplier of ICT services. In 2002, DMV and BITS (Eric Van Tilborgh) joined ELMOS. The company currently outsources more than 120 highly motivated ICT specialists in the field of programming, system development and ICT infrastructure management to its customers. ELMOS sees to it that these ICT specialists are permanently supported and trained to provide excellent services to the customer. ELMOS is one of the few remaining independent ICT companies in Belgium, which guarantees flexibility.

Luc Dooms, CEO and co-founder of C-CURE about ELMOS’ participation: “C-CURE has grown considerably over the past few years. The agreement we have made with ELMOS today aims to support and stimulate C-CURE’s growth. It is clear that there are synergies possible between ELMOS and C-CURE.
